Is the maker of Macs in for a board reboot? According to a Wall Street Journal article published on Monday, Apple CEO Tim Cook is looking for new board members. If the report is true, Cook’s search is reminiscent of Steve Jobs’ handpicking of an Apple board that would, perhaps in name only, oversee him. But CEO selection of board candidates is a governance no-no because CEOs report to—and are hired and fired by—the board.《华尔街日报》( Wall Street Journal)上周发表的一篇文章称,苹果(Apple)首席执行官提姆o库克正在物色新的董事会成员。 To be sure, the Apple AAPL 0.04% board is certainly ripe for an overhaul. Bill Campbell, the chair of Intuit INTU -0.11% , has served on Apple’s board since 1997. Campbell figured prominently in documents filed in the wage fixing case that Apple agreed to settle this year. The testimony related to that case also referred to Apple Chair Art Levinson, who has been an Apple board member since 2000. Amid antitrust concerns, Levinson stepped down from Google’s board in 2009. But in September of last year, he became CEO of Calico, a controversial gig for an Apple director since Calico is funded by Google GOOG 0.87% . The two other longest serving Apple directors are Mickey Drexler, CEO of J. Crew, who has been on the board since 1999, and former U.S. Vice President Al Gore, a director since 2003. Drexler and Gore are not known as champions of good governance. Drexler survived a controversy in 2010 when he allegedly waited seven weeks to inform the J. Crew board of in-depth discussions he was holding related to the potential sale of the company. Gore led Apple’s internal investigation into stock options backdating allegations, issuing a report that some considered awhitewash. Many boards find it vital to reconsider the people who sit on their nominating and governance committees in order to facilitate director exits and find the best candidates. When the least governance-minded or longest-serving directors control those committees, boards can run into serious roadblocks. Tech firms have a heightened need to avoid stagnant board membership because fast-moving strategies require fresh thinking. Apple’s board is not diverse and not reflective of its customer base. The composition seems out of step with the company’s recent new hires, including Angela Ahrendts, former CEO of Burberry. The board currently has only one female member—and not a single independent Apple director is under 55. Apple did not respond to a request for comment. At Apple, Campbell or Levinson, along with Drexler and Gore, have been responsible for board nominations and governance since 2003. (Apple’s 2011 to 2014 proxy filings show the board’s nominating and governance committee has been chaired by Campbell, the board’s longest serving director, with members Drexler and Gore. The 2003 to 2010 filings show the committee composed of Levinson, Drexler, and Gore.) At this year’s annual meeting, Apple stockholders did not approve a proxy access proposal that would have allowed shareholder board nominations to appear on Apple’s ballot. Nevertheless, the nominating committee should be seeking shareholder input. So, where does this leave Tim Cook? If the Apple CEO wants new board members, he has a couple of options. He can garner board support to get the nominating committee moving—or he can suggest that the board consider reconstituting its committees to shake things up and give newer independent members a bigger role in the nominations process. Under no circumstance should Cook, who as CEO reports to the board, be creating the slate. It’s bad governance that could backfire down the road. And it could tarnish Cook with the same brush that painted former HP HPQ 0.45% Chair Ray Lane when he took control of board nominations, contrary to that board’s governance charter. The era of Jobs is over. For Apple and Cook, that means it’s time for mature corporate governance. Along with it, perhaps the company will gain some fresh ideas as well. We are paying for things in new ways; that much is clear. We#39;re paying for taxi rides using our Uber app, checking out personally tailored offers on Facebook, and downloading films to our Amazon Kindles -- without ever pulling the plastic out of our wallets. Yet Ken Chenault plans to insure that American Express (AXP) remains in the center of every transaction. At the Mobile-First Summit in New York, I sat down with the chief executive to discuss the future of mobile payments. Below is a condensed version of our conversation, edited for clarity. Fortune: What is the scope of the mobile opportunity for American?《财富》:美国运通在移动领域的机遇有多大?Chenault: Mobile is redefining both online and offline commerce. The penetration of m-commerce in e-commerce was around 0.09% [Meaning that less than one percent of e-commerce transactions happened on mobile devices --Ed.]. By 2017, it#39;s projected to be at 26% and that#39;s just penetration in e-commerce. That#39;s just e-commerce. When will we stop breaking it out and talk simply about commerce? What#39;s happening is a gigantic opportunity. Mobile will redefine how commerce is done. Steve Jobs redefined the retail experience. I think commerce and mobile will do an even more transformational job in an exponential way. The opportunity for startups to redefine the power of mobile is incredible. Scale is important, but if you have the idea, you now have the ability to connect with companies that can drive that scale. Clearly there are five platforms that will play an important role and be very powerful: Amazon (AMZN), Apple (AAPL), Google (GOOG), Facebook (FB), and Alibaba. More and more, startups will be able to connect to these services to scale quickly. How does the competitive landscape change?竞争格局将会发生什么变化?I think it#39;s important to understand the payments industry and commerce is going through fundamental change. You are seeing a blurring of commerce, mobile, payments, and a convergence of online and offline. In the near term, plastic is not going to go away. You are going to see a demarcation between payment companies. There are going to be those that stay in the status quo, and they#39;re going to focus on facilitating payments. That is a mistake. They will be reduced to a commodity. There will be those companies who will focus on the entire commerce journey, and that#39;s us. I#39;ll give you one example of how payments has changed: Uber has changed payments. Infrastructure hasn#39;t changed at all, but the experience is frictionless and seamless, and you don#39;t even know you#39;re consummating a payment. We have the largest integrated global payments platform. We bring together users, card members, and merchants, and the data is incredibly valuable. We know where they spend online and offline. We want to deliver benefits and services when our card members want it, where, and how they want it. Let#39;s talk about Uber. I use it, and just noticed this morning that when I pulled up Google Maps to get directions to this venue, the app offered me the option to call Uber. As a consumer, I was dealing with the Google brand and the Uber brand. Yes, I made the payment on my American Express card, which is linked to my Uber account, but the AmEx brand didn#39;t come into my line of sight. Is that a good or a bad thing for AmEx? For us it#39;s a good thing because at the end of the day we have a well-known and trusted brand ... here#39;s not much of a difference between saying I want to be the first card in the wallet and saying I want to have AmEx as my default option. What is critical is the benefits, services, and innovation we provide so we#39;re the first card in the wallet. So you#39;re talking about the difference between the transaction and what you call ;the journey.; What#39;s involved in that journey? Here#39;s what#39;s key. If we look at how mobile devices are used, people who use mobile devices in the shoppers#39; journey are 40% more likely to convert to sales. Think about how people use information, how they leverage recommendations they get from social media sites. The key is to understand the different elements of the commerce journey. We want to be where our customers are. We want to deliver them benefits in the way they want to have those benefits presented to them. It goes back to a key message I give in my organization: This is an environment where you innovate or die. We want to be the company that will put us out of business. Part of that is looking beyond the trends to understand systematic change. Were digital wallets a fad? In 2011, companies like Google and Square launched them. In 2014, many of those efforts haven#39;t worked and are being retried. Are digital wallets dead? 数码钱包是不是已经宣告死亡了?I don#39;t think they#39;re dead, but if you go back to what I said publicly in 2011, I didn#39;t think these wallets met a value proposition. I#39;m going to tap to pay? What#39;s the friction that it#39;s really solving? What are the benefits that I#39;m getting? How is that helping me in my shopping journey? At the end of the day, the failure of wallets was not being focused enough on customer needs. But you think some efforts have worked? We acquired a platform called Revolution Money in 2009 at the height of the financial crisis. It is a very flexible alternative payments platform. We said, There#39;s a large population of folks not being served -- there are 70 million people in this country who don#39;t have a checking account or don#39;t believe they#39;re being served well. NerdWallet has said with prepaid cards, you#39;re paying 0 a year to use your own money. With checking accounts, people are paying several hundred dollars a year if they don#39;t have a minimum balance. So we came out with an online payment platform that works offline and online. In early 2014, once we got the platform stabilized, we brought on 2.4 million customers. In the month of April alone, we brought on 1 million customers. They#39;re transacting volumes on our platform. Wallets, if they are done right, can work. Mobile apps will play an important role going forward. We made further changes to the functionality of the platform so you can do anything you want -- pay bills, do peer-to-peer-payments, write checks. The term we coined in our company is that it is expensive to be poor. But we can develop a model where we have attractive economics, so instead of paying .95 a month for a prepaid card, you pay a month with us for a far better service. Peer-to-peer payments: How important is the capability? It#39;s very important, but what#39;s critical is that you have got to connect peer-to-peer payments with a range of services that meet a variety of needs. As a standalone, it#39;s difficult to generate the economics you need. But there#39;s a very high demand. We looked at where spending takes place. Outside of credit cards and charge cards, there#39;s trillion out there. That#39;s a tremendous opportunity. You#39;ve done creative things with the AmEx loyalty program like recently making it possible for people to pay for a New York City cab ride with points. Are people actually using this service? Yes! It is frictionless, and once people use it, 80% of the them return. (Audience member: ;I#39;m worried it#39;s a bad deal, that the points can be used better elsewhere.;)(一位听众表示:“我很害怕这项交易不合算,或许积分可以被用到更好的地方呢。”)Here#39;s what you#39;re missing. Do you want to only use those points for airlines? People have said, ;I want choice and convenience.; If you just say for every dollar there#39;s one point, people want a wide variety of choices. /201405/302088If you think texting while walking is dangerous, just wait until everyone starts wearing Google#39;s futuristic, Internet-connected glasses. While wearing a pair, you can see directions to your destination appear literally before your eyes. It confirms that the rising trend in world temperatures ended in 1997. Meanwhile, leading climate scientists yesterday told The Mail on Sunday that, after emitting unusually high levels of energy throughout the 20th Century, the sun is now heading towards a ;grand minimum; in its output, threatening cold summers, bitter winters and a shortening of the season available for growing food. Solar output goes through 11-year cycles, with high numbers of sunspots seen at their peak. We are now at what should be the peak of what scientists call ;Cycle 24; ; which is why last week#39;s solar storm resulted in sightings of the aurora borealis further south than usual.
